Form 5472: the filing that catches foreign-owned LLCs

A single-member LLC owned by a non-U.S. person is disregarded for income tax but still has to file a pro-forma Form 1120 with Form 5472 attached. Missing it carries a penalty that starts at USD 25,000 per year.

Delaware or Wyoming? The question is usually the wrong one

State of formation matters far less than where the business has employees, inventory or an office. Those create nexus — and nexus, not the certificate, decides where you register and pay.

Where FinCEN beneficial ownership reporting now stands

Under FinCEN’s 2025 interim final rule the reporting obligation applies to entities formed outside the U.S. that register to do business in a state. Domestic companies are exempt.
